1. Eligibility and Website Purpose

It is not legal, tax, accounting, financial, insurance, benefits, cybersecurity, medical, or other regulated professional advice. Employment laws and business requirements vary by jurisdiction and circumstance. 3. No Consulting or Client Relationship
Visiting the Website, submitting a contact form, sending an email, scheduling a meeting, downloading material, or discussing a potential engagement does not create a consultant-client, fiduciary, confidential, advisory, employment, partnership, agency, or other professional relationship with HRmony.
HRmony consulting services begin only after HRmony and the client execute a separate written agreement. If these Terms conflict with a signed client agreement concerning consulting services, the signed client agreement controls for those services.
4. No Confidential or Sensitive Submissions
Do not submit confidential employee information, trade secrets, privileged material, medical information, Social Security numbers, financial account information, government identification numbers, background-check information, or other sensitive information through the Website, ordinary email, Calendly, or an introductory inquiry. Information submitted before a written engagement and confidentiality agreement are in place should not be assumed to be confidential or privileged, although HRmony will handle personal information as described in its Privacy Policy.
5. Consulting Services and Results
Descriptions of services, approaches, frameworks, deliverables, case examples, testimonials, or potential outcomes are illustrative and do not constitute a binding offer, promise, warranty, or guarantee. Every organization and engagement is different. Results depend on circumstances outside HRmony's control, including leadership participation, timely decisions, implementation, resources, market conditions, legal requirements, and organizational follow-through.
Specific scope, responsibilities, fees, expenses, schedules, deliverables, confidentiality obligations, data handling, intellectual-property rights, and performance expectations will be defined in a separate written agreement.
6. Intellectual Property
The Website and its content—including text, branding, graphics, designs, frameworks, methodologies, service names, assessments, documents, downloads, and other materials—are owned by or licensed to HRmony and are protected by intellectual-property laws. HRmony Solutions, the HRmony name and branding, the HRmony People Operating System, and other identified materials may constitute proprietary property regardless of whether a trademark or copyright symbol is displayed.
Subject to these Terms, HRmony grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Website for your own internal, lawful evaluation of HRmony's services. No other rights are granted.
7. Prohibited Uses
You may not:
Copy, reproduce, republish, distribute, sell, sublicense, or commercially exploit Website content without written permission;
Present HRmony's frameworks, materials, or content as your own or remove ownership notices;
Use automated tools to scrape, harvest, extract, train on, or systematically reproduce Website content except as permitted by law or authorized in writing;
Attempt to gain unauthorized access to the Website, systems, accounts, forms, or data;
Transmit malware, malicious code, spam, deceptive submissions, or content that violates law or another person's rights;

8. User Communications and Feedback
You represent that information you submit through the Website is accurate, lawful, and yours to provide. If you voluntarily provide general suggestions or feedback about the Website or HRmony's services, HRmony may use that feedback without restriction or compensation, provided that this provision does not grant HRmony ownership of your confidential business information or personal information.

12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HRMONY AND ITS OWNER, OFFICERS, CONTRACTORS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR USE, ARISING FROM OR RELATING TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HRMONY'S TOTAL LIABILITY ARISING FROM OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
13. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless HRmony and its owner, officers, contractors, service providers, and representatives from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees arising from your unlawful use of the Website, violation of these Terms, infringement of another person's rights, or information or material you submit through the Website.
14. Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Subject to applicable law, any dispute arising from or relating to the Website or these Terms must be brought in a state or federal court located in Pennsylvania, and you consent to the personal jurisdiction of those courts. A separate signed consulting agreement may establish different governing-law or dispute-resolution terms for that engagement.
15. Changes to These Terms
HRmony may update these Terms from time to time. Revised Terms will be posted on the Website with an updated Effective Date. Your continued use of the Website after revised Terms are posted constitutes acceptance of the revised Terms.
16. General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect and the unenforceable provision will be enforced to the greatest extent permitted by law. HRmony's failure to enforce a provision is not a waiver. These Terms and the Privacy Policy constitute the agreement between you and HRmony regarding use of the Website, except for additional terms that may apply to a specific feature or signed consulting agreement.
